Acquired by employees in 1945 (later Ruben Berta Foundation). Took-over Aero-Geral in 1951, REAL in 1961, Panair do Brasil routes in 1965. Acquired Cruzeiro in 1975. Failed to merge with Transbrasil 1975. Entered Star Alliance partnershipin 1997 (ousted 12/06). Expected to merge with TAM in 2003, plan indefinitely postponed in 2004. Minority stake by NV Participacoes (40% owned by Varig pilots and 60% by foreign investors) rejected in 2004. Take-over plans by GOL and/or TAM suggested by Brazilian government turned down 12/2004; 20% stake each from Euro Atlantic (Portugal) and LAN also beingnegociated in 12/2004. 20% investment from TAP Portugal negociated in 6/05, approved 2/11/05 after airline had enteredbankrupcy protection on 17/6/05. Take-over by employee-held NV Participacoes (TGV) agreed in principle on 12/6/06, but cancelled on 24/6/06. Suspended most operations on 21/6/06. Purchased 21/7/06 at auction by Volo do Brasil (consortium of US investment fund Matlin Patterson and Brazilian partners; also parent company of VarigLog) for $128m (excluding debts). 10% stake expected to be announced late 8/06 from ACE (Air Canada parent) with several 767 and 6 ERJ-190 slots transfers, plan cancelled. Renamed to VRG Linhas Aéreas in 10/06 and new AOC granted 14/12/06 (with domestic routes authorityreduced from 270 to 119).
